The Website is operated by Sherbourne Health, operating as Rainbow Health Ontario (“we,” “us,” “our”), located at 333 Sherbourne St, Toronto, ON M5A 2S5.
By accessing or using the Website, you accept and agree to be bound and comply with these Terms and our Privacy Policy, which is hereby incorporated into these Terms by reference. If you do not agree to these Terms, you must not access or use the Website.

You acknowledge and agree that we may stop (permanently or temporarily) providing the Website (or any features within the Website) to you or to users generally, at our sole discretion, without prior notice to you. You agree that any registration information you give to us will always be accurate, correct and up to date.
c. Eligibility: By registering for an account, you represent and warrant that you are of the age of majority in your province of residence.
d. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3. User-Generated Content
a. License: By submitting content, including profile information, resource data, or research, to our directories (the “User Content”), you grant Rainbow Health Ontario a non-exclusive, royalty-free license to use, display, and distribute such User Content on the Website. This license terminates when you remove your content or close your account. This license does not grant us the right to modify, adapt, or translate your User Content without your additional consent.
b. Moderation: All User Content is subject to pre-publication review and moderation by Rainbow Health Ontario. We reserve the right to refuse to publish, or to remove any User Content that, in our sole discretion, violates these Terms.
c. User Conduct and Content Standards: You acknowledge and agree that, if you submit any User Content to the Website, you will be solely responsible for such User Content. Rainbow Health Ontario will not be liable in any way for any such User Content submitted. You further agree that you will not submit any User Content that is:
- Harassing, abusive, threatening, harmful, libelous or defamatory, encourages conduct that could constitute a criminal offense or give rise to civil liabilities, or is unlawful in any other way.
- Hateful, including but not limited to homophobic, biphobic, transphobic, racist, or ableist.
- Encourages any illegal activities, or provides guidance or instructional activities about such illegal activities;
- Commercially solicitous or promotional in nature.
- Professionally inaccurate or misleading.
- Infringing on any intellectual property or other rights of any person.
- In violation of any professional confidentiality obligations.
d. Additional Restrictions: You further agree not to:
- Create fake accounts or misrepresent your identity or credentials.
- Use automated systems, bots, or scripts to access or interact with the Website.
- Attempt to gain unauthorized access to any portion of the Website or other systems.
- Interfere with or disrupt the Website’s functionality or security.
e. No Endorsement: The inclusion of any listing or resource in our directories does not imply our endorsement or recommendation. Users acknowledge that listed professionals maintain independent practices. We do not verify credentials, monitor services, or assume responsibility for professional conduct. Users must independently verify qualifications and suitability. We are not responsible for the accuracy, quality, or safety of the services provided by listed professionals or organizations. a. Our Content: The Website and its Contents, other than User Content, are owned by Rainbow Health Ontario, Sherbourne Health, its licensors, or other providers and are protected by Canadian and international copyright, trademark, and other intellectual property laws.

Limited License for Educational Resources: Our educational resources may be reprinted or distributed without permission, including online, provided that: (i) it is not sold or used for commercial purposes; (ii) it is not altered or modified in any way; and (iii) Rainbow Health Ontario is properly credited as the source.
c. Restrictions: You must not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any of the material on our Website, except as specifically permitted by these Terms (e.g., the clause above) or with our express prior written consent.
5. Purchases and Payment Terms
a. Products and Services: We sell on-demand and instructor-led professional development trainings and 2SLGBTQ+ health resources. All purchases are subject to these Terms.
b. Payment: You agree to pay all charges incurred for purchases made by you. All payments are processed securely by our third-party payment processors (e.g., Stripe). You agree to provide current and valid payment information.
c. No Refunds: All sales are final. Fees paid for trainings and resources are non-refundable and non-transferable.
d. Prerequisite: Completion of our 2SLGBTQ+ Foundations course is a mandatory prerequisite for purchasing and accessing all other training and educational programs. By purchasing any other program, you acknowledge this requirement and confirm you have either already completed the prerequisite or will do so before accessing the purchased content.
e. Third-Party Services: We use third-party payment processors and other service providers to facilitate transactions and Website functionality. Your interactions with these third parties are governed by their respective terms of service and privacy policies. Use of certain links on the Website may also direct you away from the Website to third party websites. Such third party websites are not under our control, and we are not responsible for the contents of any such website or any link contained in such website.
